Terms of Service for the HuntingtonMod workspace

1 — The parties

These Terms are entered into between (i) HuntingtonMod GmbH, a German limited-liability company registered at the Amtsgericht München under HRB 285 741 (Amtsgericht München), with its registered seat at Maximilianstraße 34, 80539 München, Germany, represented by its managing director Andrea Weiss ("HuntingtonMod", "we", "us", "our"), and (ii) the individual natural person who signs up for a HuntingtonMod workspace by submitting the checkout form on this website ("you", "your", the "Subscriber"). HuntingtonMod is not affiliated with, endorsed by or connected to Huntington Bancshares Incorporated, Huntington National Bank, or Huntington Investment Company. The apps sold here are ordinary personal-utility software and have no connection to banking.

2 — Definitions

In these Terms, capitalised expressions have the following meanings: "Workspace" is the private, single-user, browser-accessible writing environment allocated to the Subscriber; "App" is one of the ten small personal-utility applications listed in the Catalog page (Personal Journal, Daily Expense Tracker, Habit Log, Mood Weekly, Budget Planner, Receipt Scanner, Subscription Tracker, Reading Log, Gratitude Notebook, Weekly Review); "Content" means every entry, receipt image, tag, mood dot, checkmark, PDF export and text file that you produce inside the Workspace; "Subscription Fee" is the monthly euro amount indicated on the Pricing page for the App you have selected; "Magic Link" is the single-use e-mail link that authenticates you into your Workspace.

3 — Non-affiliation and scope

HuntingtonMod is a European boutique of personal-utility apps. It is not a bank, not a brokerage, not a payment institution, not a lender, not an investment adviser and not an insurance intermediary. HuntingtonMod is not affiliated with, endorsed by or connected to Huntington Bancshares Incorporated, Huntington National Bank, or Huntington Investment Company. Nothing in the Apps reads, aggregates, holds, moves, invests or exchanges money on your behalf. The Subscriber acknowledges reading and accepting the Disclaimer page in its entirety before accepting these Terms.

4 — Geographic eligibility

HuntingtonMod offers services exclusively to natural persons resident outside the United States. Sign-up is geo-restricted at the "country of residence" field of the checkout form. Residents of the United States, its territories or its possessions cannot open a Workspace, and any Subscription apparently entered by such a resident is void from inception. The Subscriber warrants, on every payment cycle, that they remain resident outside the United States.

5 — Conclusion of contract

The contract is concluded when (i) the Subscriber submits the checkout form, (ii) accepts these Terms by ticking the acceptance box, (iii) receives the confirmation e-mail from support@huntingtonmod.org containing the first Magic Link, and (iv) opens the Workspace by clicking that Magic Link within thirty (30) minutes. If any of these steps fails, no contract is formed and no Subscription Fee is due.

6 — Subscription structure

Each App is a distinct monthly subscription. The first month of any Subscription is included at no additional cost. From the second month onwards, an invoice is issued on the first working day of the calendar month, addressed to the Subscriber's registered e-mail, with a fourteen (14) day payment window. Subscriptions renew month-to-month until cancelled by either party.

7 — Prices, payment and SEPA

Prices are quoted in euros, inclusive of German VAT at the statutory rate. Payment is made by SEPA credit transfer to HypoVereinsbank München, IBAN DE49 7002 0270 0000 8823 47, BIC HYVEDEMMXXX, using the reference number printed on the invoice. HuntingtonMod does not accept credit cards, debit cards, prepaid cards, digital wallets, cryptocurrency or third-party payment processors. Late payment attracts statutory interest under §288 BGB.

8 — Right of withdrawal (14 days)

As a European consumer, you enjoy a fourteen (14) day right of withdrawal from the day the Workspace is opened. You may exercise this right by sending an unambiguous statement to support@huntingtonmod.org. Because the first month is included, an exercise of the right of withdrawal within fourteen days ordinarily results in zero repayment (nothing has been charged) and simply closes the Workspace.

9 — Refund policy summary

Beyond the statutory right of withdrawal, HuntingtonMod operates a voluntary thirty (30) day pro-rata refund policy on the current month, described in full on the Refund page. Refunds are returned by SEPA transfer to the account of origin within ten (10) working days.

10 — Cancellation and workspace grace period

You may cancel any Subscription at any time by clicking "Cancel" inside your Workspace settings, no reason required. On cancellation, the Workspace enters a sixty (60) day grace period during which every App remains readable and exportable. After the grace period, the Workspace is archived; sixty (60) further days later, it is permanently deleted and a final receipt is sent by e-mail.

11 — Content ownership and license to HuntingtonMod

All Content produced inside the Workspace remains your exclusive property. You grant HuntingtonMod a strictly limited, non-exclusive, non-transferable, worldwide, royalty-free license to store, transmit, back up and display the Content solely for the purpose of operating the Workspace and providing the App to you. This license terminates automatically when the Workspace is deleted.

12 — Prohibited use

The Subscriber may not use the Workspace to store, transmit or publish content that (a) infringes third-party intellectual-property rights, (b) constitutes hate speech, harassment or credible threats, (c) contains child-sexual-abuse material of any kind, (d) constitutes personalised financial, medical or legal advice offered to third parties, (e) impersonates a bank, brokerage or regulated financial institution, or (f) breaches sanctions imposed by the European Union, the Federal Republic of Germany or the United Nations. 13 — Availability and maintenance

HuntingtonMod targets a monthly Workspace availability of 99.5%, measured over calendar months and excluding announced maintenance windows. Maintenance windows are announced by e-mail at least seventy-two (72) hours in advance and normally take place on the second Sunday of each month between 04:00 and 06:00 CET.

14 — Warranty and liability

HuntingtonMod warrants that the Apps will substantially conform to the descriptions published on the Catalog page. Otherwise, and to the maximum extent permitted by mandatory law, the Apps are provided "as is". HuntingtonMod's aggregate liability for any single event, and for the sum of all events in any twelve-month period, is capped at the Subscription Fees actually paid by the Subscriber during that twelve-month period. Nothing in these Terms excludes or limits liability for intent, gross negligence, personal injury or statutory product liability.

15 — Personal data

The processing of your personal data is governed by the Privacy Policy and, for enterprise customers, by the Data Processing Agreement. Journal entries and any other Content are stored inside your Workspace bucket, hosted in Frankfurt (Hetzner FSN1) and Munich (Hetzner NBG1), encrypted at rest, and never used for machine-learning model training. HuntingtonMod is not affiliated with, endorsed by or connected to Huntington Bancshares Incorporated, Huntington National Bank, or Huntington Investment Company; no personal data is shared with any such entity.

16 — Amendment of these Terms

HuntingtonMod may amend these Terms by giving the Subscriber at least sixty (60) days' prior notice by e-mail. If the Subscriber does not accept the amended Terms, they may terminate their Subscription with effect from the date the amendment would otherwise take effect, and any prepaid Subscription Fees for a period after that date will be refunded pro rata.

17 — Term and termination for cause

Either party may terminate the Subscription for cause and with immediate effect if the other party materially breaches these Terms and fails to cure the breach within fourteen (14) days of a written notice specifying the breach in reasonable detail. On termination for cause, the sixty (60) day workspace grace period still applies for the Subscriber's benefit, unless the termination is due to a breach under section 12(c).

18 — Force majeure

Neither party is liable for failure to perform an obligation to the extent that performance is prevented by an event beyond its reasonable control, including natural disasters, insurrection, war, terrorism, general strikes, epidemic, government orders, failure of the Frankfurt or Munich internet-exchange fabric, or extended power outages at the primary hosting facilities.

19 — Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The mandatory consumer-protection provisions of the Subscriber's country of habitual residence remain unaffected. Exclusive place of jurisdiction for merchants under §14 BGB is Munich, Germany; consumers may sue and be sued in the court of their habitual residence.

20 — Online dispute resolution

The European Commission provides a platform for online dispute resolution at https://ec.europa.eu/consumers/odr/. HuntingtonMod is not obliged and does not currently commit to participating in dispute-resolution proceedings before a consumer arbitration board; however, we always try to resolve disputes amicably by e-mail before any judicial proceedings.

21 — Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision is deemed replaced by a valid provision as close in economic effect as possible. There are no oral side agreements. Any waiver must be in writing. HuntingtonMod may assign these Terms in the context of a merger, reorganisation or sale of substantially all of its assets, provided that the successor entity assumes all obligations in full.

22 — Contact and complaints

All notices under these Terms must be sent by e-mail to support@huntingtonmod.org, with the invoice reference number in the subject line. Complaints are logged in a Munich-based ticket system and answered within five (5) working days. Statutory notices requiring paper form may be sent to Maximilianstraße 34, 80539 München, Germany.
